Doug it almost sounds like you have a bad stick of memory...To test it out
go to www.simmtester.com download their free utility for testing memory
sticks...It formats a floppy and then copies it program to it...You reboot
with the floppy in the drive and it does its thing...
This is pretty much for the system instability...as for out of resources hit
crtl-alt-delete and tell us what you are running in the dialog box (win9x)
or task manager (NT)  Also with the Athlons I've seen some strange problems
if the native AMD bus master drivers are loaded, which you can tell if you
go into add/remove programs in control panel....
