far as I can tell, have 2 choices; export the messages from old system, to
floppy or zip disk, then import on new system.  Alternative, move to OE 5.5,
which will import prior OE5 messages directly, although you have to point
the way usually.  Search for the *.DBX files, in W2K they are in a subdir of
Documents and Settings I believe.
No expert I, just had to go thru it when  version of WinPoet coupled with
Netscape was installed on my system as part of a DSL setup.  Uninstalling
both trashed much of my mail system.
