I just did the same thing yesterday.

OE5.x makes this very simple. Open OE on the pc you want to import the
messages to and choose File|ImportMessages|OutLook Express 5.0 (or
whatever is appropriate).  Just point it to the right place (the
location of your old files, windows likes to put them in sometimes not
so obvious places).  Then do the same for the address book.  I just did
the same thing
