In my experience, upgrades from the win95 kernel to the NT kernel are
troublesome as the hard disk will need to be converted from fat32 to ntfs.
I upgraded from win98 to win2000 and found all sorts of glitches over the
next few months.  I finally bit the bullet and started from scratch with a
complete format and new installation of win2000.  Even with all of my old
software reinstalled and data files back in place, defrag operations take
one fifth the time and time between defrags has comfortably been extended by
a factor of three.  In my opinion, start with win2000 and wait for SP1 at
least, or preferably SP2 before upgrading to XP.  For what its worth, I've
taken a hard look at XP and cannot find much of a reason to upgrade from
win2000 to XP now or in the future.  I find win2000 to be utterly
bulletproof.
